These are the terms that apply to the use of and supply of services as described in these terms (the “Service”), by Rox Custody (“we”, “us” and “our”). Rox Custody is a product of Circle Pay Limited, a company registered in Canada with registration no: BC1354419. Circle Pay Limited is a company registered as a Money Service Business with FINTRAC Canada, with MSB registration number: M23868930.

These terms of use (the “Terms”) govern your use of the platform at https://roxcustody.io/ (the “website”).

Rox Custody is an enterprise-grade platform that provides a robust and secure infrastructure for the movement, storage, and issuance of digital assets. Designed to meet the needs of exchanges, custodians, banks, trading desks, and hedge funds, Rox Custody facilitates the secure scaling of digital asset operations using innovative MPC technology.

Please read the Terms carefully before using the website so that you are aware of your legal rights and obligations. Do not access or use the website if you do not agree to be bound by these Terms.

By accessing or using the platform; website, or mobile application, you expressly acknowledge and agree that you are entering a legal agreement with Rox Custody and have understood and agree to comply with, and be legally bound by, these Terms. These Terms shall constitute the entire agreement between you and Rox Custody concerning your use of the website.

Rox Custody reserves the right, at its discretion, to vary the Terms at any time. You are advised to review the Terms on a regular basis, as you will be deemed to have accepted any variations if you continue to use the platform after they have been posted.

1. Introduction

Agreement: This Terms of Use Agreement ("Agreement") governs your use of the Rox Custody platform and services ("Services").
Acceptance: By accessing or using the Services, you agree to be bound by this Agreement.

2. Definitions

Digital Assets: Cryptocurrencies, tokens, and other digital assets supported by Rox Custody.
Private Key: A secret code that provides access to a digital wallet containing digital assets.
MPC: Multi-Party Computation, a cryptographic technique used to enhance security.
Cold Storage: A secure, offline storage method for digital assets.
Vault Owner: An entity that owns and manages a vault on the Rox Custody platform.
User: An individual or entity that uses the Services.
Company: Cercle Pay Limited, a company registered in Canada with registration number BC1354419.
Third-Party Service Provider: A third-party entity that provides certain services to Rox Custody, such as cryptocurrency exchanges or data provision.

3. User Responsibilities

Account Security: You are responsible for maintaining the security of your account credentials, including your private keys.
Private Key Safekeeping: You agree not to share your private keys with any third party.
Due Diligence: You agree to exercise due diligence in protecting your private keys and following best practices for digital asset security.
Compliance: You agree to comply with all applicable laws and regulations regarding digital assets.

4. Rox Custody Services

Custody: Rox Custody is a product of Cercle Pay Limited and provides secure custody services for digital assets.
Features: The platform offers features such as deposit, withdrawal, management of digital assets, and governance and policy engine.

5. Fees and Charges

Fees: Rox Custody may charge fees for its services, including custody fees, transaction fees, and other applicable charges.
Fee Structure: The fee structure will be communicated to you before using the Services.
Wallet Address Expiration: To enhance security, each wallet will be assigned a unique code (Wallet Address) that expires after three hours of inactivity. If the wallet address expires, the Client will be required to generate a new code to send or receive funds. The Client is responsible for ensuring that the wallet address is kept secure and used within the specified expiration period.

6. Security

MPC: Rox Custody employs MPC to enhance the security of your digital assets.
Cold Storage: A portion of your digital assets may be stored in cold storage for added security.
Key Management: Rox Custody will securely manage and distribute key shares to protect your digital assets.
Backup: You may choose from various backup storage options to ensure the safety of your vault owner's keys.
Third-Party Security: Rox Custody cannot guarantee the effectiveness of security measures implemented by third-party service providers.

7. Governance and Policy Engine

Policy Enforcement: Rox Custody will enforce the governance and policy rules you establish (signature).
User Controls: You may configure user roles and permissions to control access to different features and functions.

8. Direct Self-Custody

Private Key Control: Rox Custody will provide you with full control over your private keys.
Backup Storage: You may utilize secure backup storage options to protect your private keys.

9. Comprehensive Blockchain Support

Blockchain Compatibility: Rox Custody supports a wide range of blockchains, including EVM and non-EVM chains.
Token Support: The platform supports various token types, and custom token support may be available upon request.

10. Unified Treasury Interface

Vault Management: You can manage multiple vaults with different options for internal, segregated, and consolidated accounts.
Wallet Security: Rox Custody will provide secure wallets across different blockchains.
Transaction Reporting: The platform will offer comprehensive transaction reporting.

11. Comprehensive API Automation

API Access: Rox Custody will provide you with APIs to automate transaction authorizations, signatures, and transfer operations.

12. Limitations of Liability

Shared Responsibility: You and Rox Custody share responsibility for the security of your digital assets.
Limited Liability: Rox Custody's liability for any loss or damage arising from the use of the platform or services shall be limited to the fees paid by you.
Third-Party Liability: Rox Custody is not responsible for the actions or omissions of third-party service providers.

13. Indemnification

Indemnification: You agree to indemnify and hold Rox Custody harmless from any claims, liabilities, damages, or losses arising from your use of the platform or violation of this Agreement.

14. Dispute Resolution

Mediation: In the event of a dispute, the parties will attempt to resolve it through mediation.
Arbitration: If mediation is unsuccessful, the dispute shall be resolved through binding arbitration.

15. Governing Law

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of British Columbia, Canada.

16. Amendments

Amendments: Rox Custody may amend this Agreement from time to time. Any changes will be communicated or notified to you.

Risk Disclaimer

Digital assets, including cryptocurrencies, are subject to a high degree of risk and volatility. Prices can fluctuate significantly within a very short time period. You should carefully consider whether trading or holding crypto assets is suitable for you in light of your financial circumstances, your level of experience, and your investment objectives, and seek independent financial advice if necessary. When purchasing, selling, and/or holding crypto assets, you will not have access to the Financial Ombudsman Service (FOS) or the Financial Services Compensation Scheme (FSCS) if something goes wrong. All transactions and services provided by Rox Custody comply with regulatory guidelines. Please consult your financial advisor before making any investment decisions.

No legal, tax, investment, or other advice is provided by any Rox Custody entity (platform). Please consult your legal/tax/investment professional for questions about your specific circumstances. Digital asset holdings involve a high degree of risk and can fluctuate greatly on any given day. Accordingly, your digital asset holdings may be subject to large swings in value and may even become worthless.

Entire Agreement. These Terms are the final, complete, and exclusive agreement of the parties with respect to the subject matter hereof and supersedes and merges all prior discussions between the parties concerning such subject matter.
